How to negotiate founding team compensation
Negotiate startup compensation by understanding the stage and tradeoff between cash and equity. Earlier stage means more equity and lower cash. Be clear on equity terms, vesting, and role scope. Most startups have flexibility on equity but fixed cash budgets.
Startup Compensation Negotiation Guide (Summary)
1. Know Your Numbers
Before any conversation, define three numbers (cash + equity at a conservative valuation):
- Floor (walk-away): Minimum you will accept. If an offer is below this, you decline, no exceptions. Prevents emotional decisions.
- Target (happy): What you’d be genuinely happy with, typically 15–30% above your floor. This is your negotiation anchor.
- Stretch (opening ask): What you ask for first, 20–40% above your target. You likely won’t get it, but it creates room to land at your target.
Benchmarking tools:
- FoundingHunt salary data
- Levels.fyi
- Conversations with peers in similar roles
Example (seed-stage founding engineer, SF):
- Floor: $110K base + 0.8% equity
- Target: $130K base + 1.2% equity
- Stretch: $150K base + 1.8% equity

2. Cash and Equity Are Two Separate Levers
Startups trade off cash vs. equity. Your job is to decide which to prioritize based on your risk tolerance and the company’s stage.
- Pre-seed / Seed:
- Lower valuation ($5–15M), more upside per % of equity.
- If you can afford lower cash, weight equity more heavily.
- Series A+ (>$30M valuation):
- Equity is more valuable in absolute terms but harder to get (dilution already happened).
- Weight cash more heavily; equity upside is more compressed.
Example math:
- Seed, $10M valuation, 1% = $100K paper value today
- Series A, $40M valuation, 0.4% = $160K paper value today
- But seed 1% can have 3–4x more upside if the company reaches $100M+.
How to frame it in conversation:
“I’m flexible on the mix. My priority is getting to X total comp, and I’m open to how we structure it.”
---
3. What’s Actually Negotiable
Always negotiable:
- Equity percentage (often 20–50% movement from initial offer)
- Base salary (typically $10–30K flexibility)
- Sign-on bonus
- Start date
- Remote work policy
